1. Services Description

CoRoom is a cloud-based meeting room management platform that enables users to:

• Search, view real-time availability, and book meeting rooms
• Manage favorites, upcoming bookings, and multi-location workspaces
• Collaborate with team members on room scheduling
• Integrate with Microsoft 365 (including Azure AD authentication and Exchange calendar sync)
• Access analytics and insights on room utilization and workspace efficiency
• Identify and book rooms equipped for Microsoft Teams or other specific requirements

The Services are provided primarily to businesses, office managers, facilities teams, and organizations using Microsoft 365 environments.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. The Services are not intended for use by children under 16.

3. Accounts and Registration

To access certain features, you must register for an account using Microsoft Azure AD authentication. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts for any violation of these Terms.

4. Acceptable Use

You agree not to:

• Use the Services for any illegal, fraudulent, or unauthorized purpose
• Interfere with or disrupt the Services or servers/networks connected to the Services
• Attempt to gain unauthorized access to any part of the Services, other accounts, or systems
• Scrape, copy, or extract data from the Services without permission
• Upload viruses, malware, or harmful code
• Use the Services to store or transmit infringing, libelous, or otherwise unlawful material
• Impersonate any person or entity
• Use automated means (bots, scripts, etc.) to access the Services except as expressly permitted

We may monitor usage to ensure compliance.

5. User Content and Responsibilities

Any data, bookings, or information you input ("User Content") remains your responsibility. You represent that you have all rights necessary to provide such content and grant us a limited, worldwide, royalty-free license to use, store, process, and display it solely to provide and improve the Services.

You are responsible for:

• Ensuring your use complies with your organization's policies and Microsoft 365 terms
• Obtaining necessary consents for calendar and user data access via integrations
• Maintaining accurate booking information

6. Microsoft 365 Integration

The Services rely on integration with Microsoft 365. By using the Services, you authorize us to access your Microsoft 365 data (e.g., calendars, user profiles) to the extent required for functionality, as consented through Azure AD/OAuth. Your use is also governed by Microsoft's terms and privacy policies.

7. Intellectual Property

All rights, title, and interest in the Services, including software, designs, text, graphics, and logos, are owned by us or our licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes during your active subscription, subject to these Terms.

You may not copy, modify, distribute, sell, or reverse-engineer any part of the Services.

8. Subscriptions, Billing, and Payments

Access to the full Services may require a paid subscription. Pricing and billing details are available at https://www.coroom.net/pricing (or as otherwise communicated).

• Fees are billed in advance on a recurring basis (monthly or annually)
• You authorize us (or our payment processor) to charge your chosen payment method
• Subscriptions auto-renew unless canceled
• No refunds for partial periods unless required by law

We may change pricing with notice.

9. Termination and Suspension

We may suspend or terminate your access immediately if you breach these Terms, for non-payment, or for any other reason at our discretion.

Upon termination:

• Your right to use the Services ceases
• We may delete your account data after a reasonable period (subject to legal retention obligations)

10. Disclaimers

We do not warrant that the Services will be uninterrupted, error-free, secure, or meet your specific requirements. Integration with Microsoft 365 depends on third-party availability and may be affected by Microsoft changes.

11. Limitation of Liability

Our total aggregate liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Switzerland, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts in Zurich, Switzerland.

14. Changes to Terms

We may update these Terms from time to time. Changes will be posted here with the updated date. Continued use after changes constitutes acceptance.
